2. Client Responsibilities
Clients agree to:
- Provide accurate and complete project information
- Supply required content, materials, and approvals on time
- Respond promptly to communication requests
- Ensure they have rights to all submitted materials
- Make payments according to agreed schedules
Delays caused by missing information or approvals may affect project timelines.
3. Payments and Billing
Clients agree to pay all fees outlined in project proposals, invoices, or agreements.
Payment Terms
- Deposits may be required before work begins
- Remaining balances must be paid according to agreed milestones
- Late payments may result in project delays or service suspension
Easy Gizmo Expert reserves the right to suspend work for unpaid invoices.
4. Refund Policy
Refunds are governed by our Refund and Returns Policy.
Due to the customized nature of digital services, completed work and active development time are generally non-refundable.
5. Project Timelines
Estimated project timelines are based on the scope of work and client cooperation.
Easy Gizmo Expert is not responsible for delays caused by:
- Late client responses
- Changes in project scope
- Third-party service interruptions
- Technical issues outside our control
6. Revisions and Scope Changes
Projects may include a limited number of revisions as specified in the project agreement.
Additional revisions, feature requests, or changes outside the original scope may incur extra charges and timeline extensions.
7. Intellectual Property
Upon full payment, clients will generally receive ownership rights to the completed website or software deliverables unless otherwise agreed in writing.
However, Easy Gizmo Expert retains ownership of:
- Pre-existing tools and frameworks
- Proprietary code libraries
- Development methodologies
- Third-party licensed assets
Clients are responsible for ensuring they have legal rights to all content provided for use in projects.
8. Third-Party Services
Projects may involve third-party services or platforms, including:
Easy Gizmo Expert is not responsible for outages, pricing changes, security issues, or policy changes related to third-party providers.
9. Website Hosting and Maintenance
Unless specifically included in a written agreement:
- Hosting services are billed separately
- Maintenance plans are optional
- Clients are responsible for renewing domains and hosting accounts
Failure to renew hosting or domain services may result in website downtime or data loss.
10. Limitation of Liability
Easy Gizmo Expert shall not be liable for:
- Indirect or consequential damages
- Loss of profits or business opportunities
- Data loss or corruption
- Third-party service failures
- Cybersecurity incidents beyond reasonable control
Clients use our services at their own risk.
11. Confidentiality
Both Easy Gizmo Expert and the client agree to keep confidential information private and not disclose sensitive business information without consent.
12. Termination of Services
Easy Gizmo Expert reserves the right to terminate services if:
- Payments remain unpaid
- Clients violate these Terms
- Abuse, harassment, or illegal activity occurs
Clients may also terminate services with written notice, subject to payment obligations for completed work.
13. SEO and Marketing Disclaimer
While we follow industry best practices for SEO and digital marketing, Easy Gizmo Expert cannot guarantee:
- Specific search engine rankings
- Website traffic levels
- Sales or revenue increases
Search engine algorithms and market conditions are outside our control.
14. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the New Jersey, without regard to conflict of law principles.
15. Changes to Terms
